Definitions

'Assignment' means any work purchased by the customer to the Company and which ends when it's done; The ‘Company’ means Tonystam, whose registered office is at Männimäe, Pudisoo küla Kuusalu vald Harjumaa 74626 and whose registered number is 14404824; ‘You’ means a person who purchases our services; ‘Confidential information’ means any trade or business secrets or any other information of a confidential nature, including (without limitation) matters of a business nature such as prices, costs, markets, details of clients, sales, profits, research projects, client projects and plans for future development, all technical matters, access codes, know-how, computer programs (including documentation of such programs), designs, information relating to any intellectual property and information which has been given to the Company in confidence by clients and other persons.

1. Status.

These terms constitute an agreement for services between you and the Company (“Agreement”). There is no obligation on the Company's part to offer you, or to consider offering you, an engagement or Service.

2. Nature of Work

Any Assignment or service provision will be of a temporary nature and the Company does not and cannot guarantee any further engagement or Assignment once an Assignment has ended. You will have to request a new Assignment or contract once the Assignment or service has ended. Each service provision made by the Company shall be treated as an entirely separate and severable Assignment. The terms of this Agreement shall apply to each Assignment but there shall be no relationship between the parties after the end of one Assignment and before the start of any subsequent Assignment.

3. Pay

The rate which you will have to pay for the requested service will be set out in a in a separate document. Payment will correspond to the amount of work requested. Once you accept this General Terms, in order to start the service provision, you need to make the payment according to our General Terms.

4. Company rules and procedure.

Whilst undertaking Assignments, the Company expects you to adhere to professional standards of conduct, including any rules that are published and posted by the Company on the Company website from time to time to govern the performance standard in relation to any work undertaken.

5. Confidential information.

You shall not use or disclose to any person, either during or at any time after your engagement by the Company any Confidential Information about the business or affairs of the Company or any of its business contacts, or about any other matters which may come to your knowledge as a result of the service provision.

6. Company property.

All documents, manuals, hardware and software provided for your use by the Company, and any data or documents (including copies) produced and maintained or stored on the Company's computer systems or other electronic equipment (including mobile phones), remain the property of the Company. Any Company property in your possession and any original or copy documents obtained by your in the course of the service provision made by the Company shall be returned to the Company at any time on request and in any event at the end of each Assignment.

7. Governing Law.

This Agreement will be governed by Estonian law.
